§ 1 Geltungsbereich

Diese Allgemeinen Geschäftsbedingungen gelten für alle Verträge zwischen der Richter Creative Production GmbH, Alzenauer Straße 20, 63796 Kahl am Main (nachfolgend „Anbieter") und dem Kunden über die Nutzung der Software „PlayArc" und den damit verbundenen Online-Diensten.

§ 2 Vertragsgegenstand

Gegenstand des Vertrags ist die zeitlich befristete Überlassung einer Nutzungslizenz an der Software „PlayArc" in dem vom Kunden gewählten Tarif (Basic, Pro oder Max) für die Dauer des gewählten Abrechnungszeitraums (monatlich oder jährlich).

§ 3 Vertragsabschluss

Der Vertrag kommt zustande, wenn der Kunde im Bestellprozess auf der Website oder bei LemonSqueezy auf „Kaufen" klickt und die Zahlung erfolgreich abgewickelt wurde. Die Bestellung wird per E-Mail bestätigt.

§ 4 Preise und Zahlung

§ 5 Laufzeit und Kündigung

Das Abonnement verlängert sich automatisch um den jeweils gewählten Abrechnungszeitraum, sofern es nicht bis spätestens zum Tag vor Ablauf gekündigt wird. Die Kündigung erfolgt im Kunden-Portal von LemonSqueezy.

§ 6 Nutzungsrechte

Der Kunde erhält ein einfaches, nicht übertragbares, zeitlich auf die Vertragslaufzeit befristetes Recht zur Nutzung der Software auf den im Tarif erlaubten Geräten (Basic/Pro: 1 Mac, Max: 3 Macs). Eine Weitergabe, Vermietung oder Unter-Lizenzierung an Dritte ist nicht gestattet.

§ 7 Testversion mit anschließendem Pro-Abo

Der Kunde kann eine 5-tägige Testphase mit Pro-Funktionsumfang beginnen. Voraussetzung ist die Angabe gültiger Zahlungsdaten im Bestellprozess bei LemonSqueezy. In den ersten 5 Tagen ab Vertragsabschluss wird kein Entgelt abgebucht.

Wird das Abonnement nicht innerhalb der Testphase im Kunden-Portal von LemonSqueezy gekündigt, geht es automatisch in ein kostenpflichtiges Pro-Monatsabo zum zu diesem Zeitpunkt ausgewiesenen Preis (aktuell 18,00 € monatlich brutto) über. Die erste reguläre Abbuchung erfolgt am Tag nach Ablauf der Testphase. Folgeabbuchungen erfolgen monatlich zum jeweiligen Vertragsdatum.

Eine Kündigung während der Testphase verhindert die automatische Abbuchung; die Software bleibt bis zum Ende der Testphase nutzbar und wird danach gesperrt. Pro Person und Zahlungsmittel kann die Testphase nur einmal in Anspruch genommen werden; ein erneuter Anspruch nach Kündigung ist ausgeschlossen.

§ 8 Lizenzprüfung

PlayArc prüft die Gültigkeit der Lizenz im Monatsabo alle 3 Tage, im Jahresabo alle 14 Tage online beim Anbieter. Bei nicht-erreichbarem Server wird die Software gesperrt, bis die Verbindung wiederhergestellt ist.

§ 9 Verfügbarkeit

Der Anbieter ist um eine möglichst hohe Verfügbarkeit der Online-Dienste bemüht. Garantierte Uptime-Zusagen werden nicht gegeben. Geplante Wartungsarbeiten werden vorab per E-Mail oder im Kunden-Portal angekündigt.

§ 10 Haftung

Der Anbieter haftet für Vorsatz und grobe Fahrlässigkeit unbeschränkt. Für leichte Fahrlässigkeit haftet er nur bei Verletzung einer wesentlichen Vertragspflicht der Höhe nach begrenzt auf den vertragstypischen, vorhersehbaren Schaden.

§ 11 Widerrufsrecht

Verbraucher haben grundsätzlich ein 14-tägiges Widerrufsrecht — siehe Widerrufsbelehrung.

Da PlayArc als digitale Software unmittelbar nach Vertragsabschluss bereitgestellt wird, erlischt das Widerrufsrecht gemäß § 356 Abs. 5 BGB vorzeitig, sobald der Kunde im Bestellprozess ausdrücklich seiner sofortigen Bereitstellung zustimmt UND zugleich seine Kenntnis bestätigt, dass er sein Widerrufsrecht damit verliert. Beides erfolgt durch die entsprechenden Häkchen im LemonSqueezy-Checkout.

Die in § 7 geregelte Testphase ist unabhängig vom Widerrufsrecht: solange das Abonnement während der ersten 5 Tage nicht in Anspruch genommen wurde (keine Abbuchung erfolgt), kann es einfach im LemonSqueezy-Kundenportal gekündigt werden.

§ 12 Schlussbestimmungen

Es gilt deutsches Recht unter Ausschluss des UN-Kaufrechts. Gerichtsstand ist Aschaffenburg, soweit der Kunde Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen ist. Sollten einzelne Bestimmungen unwirksam sein, bleibt der Vertrag im Übrigen wirksam.

§ 1 Scope

These Terms & Conditions govern all contracts between Richter Creative Production GmbH, Alzenauer Straße 20, 63796 Kahl am Main, Germany (the „Provider") and the customer for the use of the „PlayArc" software and the associated online services.

§ 2 Subject of the Contract

The subject of the contract is the time-limited grant of a usage licence for the „PlayArc" software in the tier selected by the customer (Basic, Pro or Max) for the duration of the selected billing period (monthly or yearly).

§ 3 Conclusion of Contract

The contract is concluded when the customer clicks „Buy" during the order process on the website or via LemonSqueezy and the payment has been successfully processed. The order is confirmed by email.

§ 5 Term and Cancellation

The subscription renews automatically for the selected billing period unless cancelled by no later than the day before expiry. Cancellation takes place in the LemonSqueezy customer portal.

§ 6 Rights of Use

The customer receives a simple, non-transferable right to use the software, limited in time to the contract period, on the devices permitted under the tier (Basic/Pro: 1 Mac, Max: 3 Macs). Transfer, rental or sub-licensing to third parties is not permitted.

§ 7 Trial Period with Subsequent Pro Subscription

The customer may start a 5-day trial with the full Pro feature set. A precondition is the provision of valid payment details during the LemonSqueezy order process. No charge is made during the first 5 days from contract conclusion.

If the subscription is not cancelled within the trial period in the LemonSqueezy customer portal, it automatically converts to a paid Pro monthly subscription at the price displayed at that time (currently €18.00 gross per month). The first regular charge is made the day after the trial period expires. Subsequent charges are made monthly on the contract anniversary.

Cancelling during the trial prevents the automatic charge; the software remains usable until the end of the trial and is then disabled. Each person and payment method may use the trial only once; no further trial entitlement exists after cancellation.

§ 8 Licence Check

PlayArc checks the validity of the licence online with the Provider every 3 days on the monthly plan and every 14 days on the yearly plan. If the server is unreachable, the software is locked until the connection is restored.

§ 9 Availability

The Provider strives for the highest possible availability of the online services. No guaranteed uptime is promised. Planned maintenance is announced in advance by email or in the customer portal.

§ 10 Liability

The Provider is liable without limitation for intent and gross negligence. For slight negligence, the Provider is liable only in the event of a breach of a material contractual obligation, and the liability is limited in amount to the typical, foreseeable contract damage.

§ 11 Right of Withdrawal

Consumers generally have a 14-day right of withdrawal — see Withdrawal Policy.

Since PlayArc is digital software delivered immediately after contract conclusion, the right of withdrawal expires prematurely under § 356 (5) of the German Civil Code (BGB) as soon as the customer expressly consents to immediate delivery during the order process AND simultaneously confirms knowledge that this consent forfeits the right of withdrawal. Both are completed via the corresponding checkboxes in the LemonSqueezy checkout.

The trial period regulated in § 7 is independent of the right of withdrawal: as long as the subscription has not been used during the first 5 days (no charge has been made), it can simply be cancelled in the LemonSqueezy customer portal.

§ 12 Final Provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Aschaffenburg, provided the customer is a merchant, a legal entity under public law or a special fund under public law. Should individual provisions be invalid, the remainder of the contract remains in force.
